OLLY ONE PORTAL LLC

This User Agreement governs your use of the services (the “Services”) provided by OLLY ONE PORTAL LLC, a UAE-based company, established for the purpose of offering Voucher card services through its website olly.ae (the “Platform”, “we”, “us”, or “our”).

Please read this User Agreement carefully before using the Platform. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement, together with our Privacy Policy (collectively, the “Terms”).

These Terms apply to all users of the Platform, regardless of the method or device used to access the Platform. Additional terms may apply to specific services, offers, promotions, contests, or Draws (“Draws”) made available on or through the Platform, including those provided by third-party service providers.

We reserve the right to amend or update these Terms at any time without prior notice. Continued use of the Platform following such changes constitutes your acceptance of the updated Terms. Nothing in these Terms affects your statutory rights as a consumer under applicable laws.


1. DEFINITIONS

  1. Platform: The online website and mobile application through which users can purchase Vouchers, participate in Raffle Draws, and access related services.
  2. Draw (Raffle Draw): A random selection process conducted to determine the winners of Prizes among eligible participants.
  3. Voucher: A digital coupon or code purchased via the Platform, which may be redeemed for goods or services at participating merchants.
  4. Prize: Any reward that a winner is entitled to receive as a result of winning a Draw.
  5. Personal Account: The individual user profile created on the Platform to manage purchases, participation in Draws, and other interactions.
  6. Spam: Unsolicited or irrelevant messages sent in bulk, including but not limited to marketing or promotional content sent without user consent.
  7. Force Majeure: Events beyond the reasonable control of the Platform, including but not limited to natural disasters, war, terrorism, strikes, government actions, or technical failures, which may delay or prevent the performance of obligations under these Terms.


2. SCOPE OF SERVICES

The following provisions apply with respect to your use of OLLY ONE PORTAL LLC.

By creating an account on the Platform, you will be granted access to purchase Vouchers for a variety of experiences and products across the UAE, including but not limited to fast food, entertainment, and wellness services.

Vouchers for selected brands and services (e.g., Let it Dough, Pop Culture) may be purchased via the Platform. Upon successful purchase, you will receive:

  1. A digital Voucher redeemable at the selected brand or service.
  2. One or more complimentary raffle tickets granting entry into the promotional Draw linked to your purchase.


3. PRIVACY POLICY

By accepting these Terms, you expressly consent to the collection, processing, and limited disclosure of your personal data to third-party service providers involved in:

  1. Delivering or fulfilling the Voucher-related services.
  2. Supplying and distributing Prizes to Draw winners.

All data sharing will be conducted strictly on a need-to-know basis and in compliance with applicable data protection laws and regulations in the United Arab Emirates.


4. ACCOUNT REGISTRATION AND OBLIGATIONS

To access and use the Platform's Services, you must first create a personal account by registering your details.

  1. Accuracy: You agree to provide accurate, complete, and up-to-date information. You must not register under someone else's name or use false information.
  2. Age Restriction: Use of the Platform is strictly limited to individuals who are 18 years of age or older. Individuals under 18 may not access or use the Platform under any circumstances.
  3. Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to take reasonable steps to prevent unauthorized access.
  4. Non-Transferability: Your account is personal. You may not assign, sell, or transfer your account or benefits to any third party.
  5. Liability: You must not share your account with anyone else. You will be held fully liable for any misuse of your account and agree to indemnify OLLY ONE PORTAL LLC for any loss resulting from unauthorized activity linked to your account.

We reserve the right to reject any account registration or suspend, limit, or terminate access to the Platform at any time and for any reason, including regarding usernames deemed offensive or inappropriate.


5. ELECTRONIC COMMUNICATION

In order to fulfil our obligations under these Terms, we may contact you through email, electronic messaging platforms, or by posting notifications directly on the Platform. By using the Platform, you expressly consent to receive such communications electronically.


6. USER CONDUCT

You agree to use the Platform and its Services only for lawful, intended purposes.

Prohibited Actions:

  1. You must not send spam, chain messages, or unsolicited emails to other users.
  2. Impersonating others or using another person’s account is strictly prohibited.
  3. You agree not to use the username or account of another user.
  4. You may not use the Platform to harass, abuse, or harm others.
  5. You must not copy, modify, distribute, sell, or reverse engineer any part of the Platform without our written permission, unless legally permitted.

By using the platform, you expressly consent to being featured in promotional and marketing campaigns, including but not limited to social media content, subject to the platform's privacy policy and applicable laws.


7. PAYMENT AND REFUND

  1. Final Sale: All Voucher purchases are final, non-refundable, and non-exchangeable. Vouchers may not be resold, transferred, or exchanged for cash or any other form of compensation.
  2. Processing: If you make a payment for Vouchers, details are submitted directly to our payment provider via a secured connection. Please ensure you have read the applicable terms provided by your bank.
  3. Currency & Tax: All prices displayed are inclusive of VAT. All payments shall be processed in United Arab Emirates Dirhams (AED) only.


8. INTELLECTUAL PROPERTY RIGHTS

All content on the Platform—including text, images, graphics, software, audio, video, interactive features (“Materials”), as well as trademarks, logos, and brand names (“Marks”)—are owned by OLLY ONE PORTAL LLC or its licensors. These are protected by copyright, trademark, and other intellectual property laws.

  1. License: Materials are provided “as is” for personal, non-commercial use only.
  2. Restrictions: You may not reproduce, distribute, reverse engineer, modify, or exploit this content for commercial purposes without prior written consent.


9. DISCLAIMER OF WARRANTY

While we strive to provide a reliable and seamless service, we cannot guarantee that the Platform or Services will always be uninterrupted or error-free. The Platform and Materials are provided "as is" without any warranties, express or implied, to the fullest extent permitted by law.

  1. Data Accuracy: Information obtained on the Platform may not always be accurate. We rely on partners for data, and while we strive for accuracy, we cannot guarantee it will always be correct or up-to-date.


10. LIMITATIONS OF LIABILITY

To the maximum extent permissible by applicable law:

  1. We are not responsible for any disputes or issues related to the Vouchers, their service providers, or Prizes awarded to winners (including product quality, safety, warranties, or payments).
  2. We disclaim all liability for any loss, injury, or damage—financial or otherwise—arising from third-party products or services. Any disputes should be addressed directly with the relevant third-party provider.


11. INDEMNITY

You agree to defend, indemnify, and hold harmless OLLY ONE PORTAL LLC, its team, affiliates, and service partners from any claims, losses, damages, liabilities, costs, or expenses (including legal fees) arising from:

  1. Your breach of these Terms.
  2. Infringement of any third-party rights (e.g., intellectual property or privacy).
  3. Your use of the Platform or Services.
  4. Any claim that your use caused harm to another person or entity.


12. LIMITATION AND TERMINATION OF SERVICES

OLLY ONE PORTAL LLC may set limits on the use of Services (e.g., storage, message frequency, access frequency). We may modify, suspend, or discontinue any part of the Services at any time, with or without notice.

Prohibited Activities:

Users are strictly prohibited from:

  1. Misuse of the platform or its features.
  2. Manipulation or attempted manipulation of the Raffle System.
  3. Unauthorized access or hacking attempts.
  4. Any form of fraudulent activity.

Consequences of Violation:

Engaging in any of the above may result in:

  1. Immediate suspension or termination of the user's account.
  2. Legal action, including claims for damages.
  3. Reporting of the activity to the relevant authorities in the United Arab Emirates.


13. FORCE MAJEURE

We are not liable for any delay, disruption, or failure in providing the Services due to events beyond our control. These may include internet or power outages, equipment failures, natural disasters, pandemics, strikes, civil unrest, wars, government actions, or issues caused by third parties.


14. GENERAL INFORMATION

  1. Severability: If any part of these Terms is found to be invalid or unenforceable, it will be removed without affecting the rest of the Terms.
  2. No Waiver: Any failure by us to enforce any terms is not a waiver of our rights to enforce those terms later.
  3. Assignment: You may not transfer your rights or obligations without our written consent. We may transfer or assign our rights at any time without prior notice.


15. GOVERNING LAW AND DISPUTE RESOLUTION

  1. Jurisdiction: The Terms shall be governed by and construed under the laws of the United Arab Emirates.
  2. Language: These Terms may be published in English and Arabic. If there is any inconsistency, the English text will prevail.
  3. Sharia Compliance: The Raffle Draw conducted through this platform is fully compliant with UAE laws. It does not constitute gambling under UAE law and is structured in accordance with Sharia principles, with relevant elements approved as Murabaha by Sharia-compliant parties.


16. DRAW TERMS (Specific to Contests & Prizes)

In addition to the General Terms, the following provisions apply to your participation in our contest Draws and winning Prizes.

Eligibility & Tickets:

  1. Only users with a valid account satisfying all Terms are eligible to enter.
  2. Ticket numbers are automatically generated by the system and may not follow the order of purchase. You cannot select specific ticket numbers.
  3. Tickets and Vouchers awarded are neither refundable nor transferable and are owned solely by you.

Voucher Specifics:

  1. Customers must refer to the terms of the specific Voucher purchased. Validity, redemption, and collection vary by vendor. Failure to comply may result in forfeiture without refund.

Draw Mechanics:

  1. Draws are approved by Dubai Festivals and Retail Establishment.
  2. Draws are conducted in the presence of a government representative (unless exempted).
  3. Timing: Prizes are awarded on any day of the week for Draws that are sold out at least 24 hours in advance.
  4. Deadlines: The deadline to enter is prior to the sell-out of Vouchers, prior to the Draw closure, or prior to the end of the timer (for timed Draws). Extensions are at the sole discretion of OLLY ONE PORTAL LLC.
  5. Winners: Winners are chosen via official raffle. Unless stated otherwise, each Draw will have one (1) winner.

Winning & Claiming Prizes:

  1. Winners will be notified via email on the same day as the Draw.
  2. Collection: Winners must collect the Prize from the designated location within 60 calendar days and present valid ID. Failure to collect results in forfeiture.
  3. Publicity: By entering, winners agree that their name, photos, videos, and call recordings may be used in press materials and social media.
  4. Prize Condition: Prizes are awarded "as displayed" with only minor physical changes allowed.
  5. Registration: If a Prize requires registration (e.g., a vehicle), it will be registered solely in the name of the winner on the ticket.
  6. Disqualification: If a winner is found ineligible, we may reclaim or dispose of the Prize at our discretion.

Liability regarding Prizes:

We are not responsible for claims, damages, expenses, loss, illness, or bodily injury (including death) related to the usage of any Prize or defects in any Prize. Winners are responsible for any applicable tax liability.
